after changing the plug & wires, distributor Cap and fuel oil, I still have these codes popping up. Now should look towards my O2 sensors next / replace the Cats? Or should I try to replace my knock sensor. Dont know which one will be next to change.. I have heard the knock is really hard to get to. Just wondering which avenue i should venture down first.

P0420 is the bank 1 three way cat and P0328 is the knock
sensor.

so should i replace my cat coverter or the knock sensor... i dont know which one would be the better opition to start with?

Change the cat converter, I guarantee there is nothing wrong with the knock sensor as it has been stated as an intermittent fault where it will just come on when another code triggers the SES.  If the knock sensor was bad you would definitely notice a problem whereas if it seems to run normal it is just the cat.  I have the same exact problem codes and the truck runs completely fine.  Also changing the knock sensor is a lot of work and if you have someone else do it plan on spending a pretty penny.  Disregard the knock sensor fault.  Fix the cat converter and I put money on the SES light going out on its own.

If you have a P0420 code, you need a bank 1 three way
cat.If you have a P0328 code(even though it may be
intermittent), you need a knock sensor. You most likely
will never experience any concerns due to the knock sensor
because it's main function is to retard timing in the event
of spark knock. It doesn't come on due to another fault
code, it comes on because it is failing.
